- Scope and Application
These Terms and Conditions (“Agreement”) govern all sales, deliveries, and related transactions between Aliments AMGA (“AMGA”) and its clients.
By placing an order, accepting delivery, or receiving goods, the client acknowledges and agrees to be bound by this Agreement.
No deviation is valid unless expressly agreed in writing by AMGA management.
- Orders and Acceptance
All orders are subject to acceptance by AMGA.
AMGA reserves the right to:
- Accept or refuse, any order
- Modify or substitute products when required due to availability
- Cancel orders in cases of operational or supply constraints
- Change pricing prior to delivery in response to market fluctuations
Order confirmation does not guarantee availability until delivery is completed.
- Delivery Terms
3.1 Delivery Completion
Delivery is considered complete once:
- Products are delivered to the client’s designated location, and
- The goods are physically handed over or left at the agreed delivery point
At that moment, risk and responsibility transfer to the client.
3.2 Inspection of Delivery
The client is responsible for inspecting all goods upon delivery.
Any visible issues must be reported immediately at the time of delivery. Failure to do so constitutes acceptance of the goods in their delivered condition.
3.3 Temperature-Sensitive Goods
For fresh and frozen products, proper cold-chain handling is required upon delivery.
AMGA is not responsible for product condition after delivery has been completed.
- Return Authorization Policy
4.1 Mandatory Authorization
All returns require prior written authorization from AMGA.
No product may be returned, collected, or credited without explicit approval.
Drivers and delivery personnel are strictly prohibited from authorizing returns.
Unauthorized returns are not eligible for credit, refund, or replacement.
4.2 Return Process
Any issue must be reported immediately to AMGA.
AMGA will review and issue instructions which may include:
- Retention of product by the client
- Return of product
- Disposal of product
Only AMGA-issued instructions are valid.
- Claims and Notification Period (Hybrid Standard)
Claims must be submitted within strict timeframes:
- Fresh products: within 2 business days
- Frozen goods: within 3 business days
Claims submitted outside these periods may be rejected in full at AMGA’s discretion.
- Eligible Claims
Claims will only be considered for:
- Damaged products upon delivery
- Incorrect products delivered
- Products not conforming to agreed specifications
- Verified temperature abuse identified at delivery
All claims are subject to verification by AMGA.
- Exclusions (Non-Eligible Claims)
AMGA will not accept responsibility for:
- Change of mind
- Taste, texture, or preference issues
- Over-ordering or excess inventory
- Improper storage or handling after delivery
- Opened, used, or repackaged products
- Claims submitted outside the applicable timeframe
- Product Condition Requirements
Where a return is authorized, the product must:
- Be in original packaging
- Be unopened and unused
- Be maintained under proper storage conditions
- Be in resaleable condition as determined by AMGA
Failure to meet these conditions may result in rejection of the claim.
- Credit, Refund, and Replacement Policy
All resolutions are determined solely by AMGA.
- Credit notes are the standard form of compensation
- Refunds are exceptional and require written management approval
- Replacements may be provided at AMGA’s discretion, subject to availability
AMGA reserves the right to determine the value and form of any compensation.
- Payment Terms
10.1 Payment Obligation
All invoices are payable according to agreed credit terms or, if none exists, upon receipt.
Failure to pay on time may result in:
- Suspension of deliveries
- Order holds
- Credit limitation or cancellation
10.2 Disputes and Withholding Payments
Clients may not withhold payment for undisputed goods.
Any dispute must be submitted within the applicable claim period and does not suspend payment obligations unless expressly approved in writing by AMGA.
- Inspection and Verification Rights
AMGA reserves the right to:
- Inspect all claimed or returned products
- Request supporting evidence (including photos)
- Refuse or adjust claims based on verification results
- Make final determinations regarding eligibility and credit issuance
- Transfer of Risk and Responsibility
Upon delivery completion:
- Ownership and risk transfer to the client
- The client assumes full responsibility for storage, handling, and product condition
AMGA is not liable for any deterioration occurring after delivery completion.
- Exceptions
No exception to these Terms shall be valid unless approved in writing by authorized AMGA management.
- Governing Principle
This Agreement is governed by strict control of food safety, product integrity, and financial accountability.
No authorization = No return = No credit
